1. Agreement and parties

These Terms of Service govern access to and use of EasyAsPie, including its account dashboard, website creation and hosting services, content tools, forms, business records, and other features that we make available to you (the Services). The Services are provided by nith LLC, a limited liability company registered in Wisconsin, United States (nith, we, us, or our). Our registered address is To be confirmed: registered address.

Customer, you, and your mean the person or legal entity identified as the customer when an account or order is accepted. A person accepting on behalf of an entity represents that they have authority to bind that entity. An individual invited to an account is an Authorized User; the invitation does not make that individual personally responsible for the entity's subscription fees unless they separately agree to pay them.

You accept these Terms by taking the acceptance action presented with a link to them at registration, checkout, or another expressly identified acceptance step. If you do not agree, do not complete that action or use a feature that requires acceptance. Merely visiting a website hosted for another customer does not make you that customer's subscriber or make nith the seller of that customer's goods or services.

The Acceptable Use Policy applies to use of the Services. The AI and Beta Terms apply when you use the features they cover. The Agency and Commerce Terms apply to agency work, reselling, electronic contracts, client invoicing, and selling through nith. The Privacy Policy describes personal information practices; it is not permission for uses of personal information that require a separate legal basis or consent. The Data Processing Addendum, when applicable and entered into, governs our processing of personal information on your behalf.

A written agreement signed by you and an authorized representative of nith may vary these Terms for its identified subject matter. For a conflict concerning a covered personal information transfer, the applicable mandatory transfer instrument prevails for its subject matter. Subject to that priority, the applicable Data Processing Addendum prevails over this Agreement for personal information processing. For other conflicts, an expressly agreed variation in a signed agreement controls, then the applicable supplemental terms, then these Terms. An order identifies the purchased services, price, billing period, and expressly negotiated commercial terms; it does not silently override the rest of this Agreement. Purchase-order boilerplate does not change this Agreement unless we expressly accept it in writing.

2. Eligibility, accounts, and authority

You must be at least To be confirmed: minimum account age years old and have legal capacity to enter into this Agreement. Services and regions eligible for registration are To be confirmed: eligible customers and regions. You may not use the Services where doing so would violate applicable sanctions, export controls, or other law.

Provide accurate account and billing information, keep your contact details current, and use a separate login for each person. Protect passwords, recovery methods, API credentials, signing links, and other access credentials. Notify us promptly at To be confirmed: security contact if you reasonably suspect unauthorized access or a security incident affecting the Services.

You are responsible for the permissions and instructions you give Authorized Users and for their use of your account within those permissions. This does not excuse nith from its own obligations or make you responsible for unauthorized activity caused by our breach. Review access when someone leaves your organization or no longer needs it. An account administrator's ability to perform an action does not, by itself, establish that the administrator owns every document, trademark, or other item accessible through the account.

We may reasonably verify authority before changing an account owner, restoring disputed access, transferring a site, or acting on a deletion request. We may preserve the existing access position or restrict disputed actions while reviewing conflicting claims. We do not decide ownership disputes between you and a client, employee, contractor, or other third party merely by assigning a dashboard role.

3. Services, plans, and availability

When you use Studio collaboration, authorized participants can receive your unpublished draft changes while you work. Publishing the website is a separate action. Invite only people entitled to see the material. A guest link grants anyone holding it view access to its selected page until expiry or revocation; protect the link accordingly. Review comments are shared with that page's reviewers and are not private messages. Removing access does not erase copies already received. A signed-in Viewer invitation grants the site's existing Viewer access, including its dashboard and visitor numbers, rather than access to only one guest page.

Collaboration, local undo and version history do not constitute a promise of character-by-character merging of simultaneous text edits or recovery of unsaved work after every interruption. Review the saved state and resolve any reported conflicts before publishing. Your account permissions continue to govern editing, invitations and publication.

Subject to this Agreement and any applicable payment obligations, we permit you and your Authorized Users to use the Services made available under your plan for your own activities and, where your plan permits, for authorized client work. You may not sell access to the platform itself except through an agency or other reseller arrangement that we authorize.

The order and plan information presented when you subscribe identify the included features, allowances, and optional charges. A Business subscription ordinarily covers one site. An Agency subscription ordinarily includes an account-level fee and charges for the managed sites you elect to place on that plan. A free site in an agency account is not a paid managed site merely because it is in that account. Separate site subscriptions and separately purchased add-ons may have separate charges and cancellation controls.

Features described as planned, forthcoming, or under consideration are not included deliverables or commitments to a release date. This applies, in particular, to the planned tenant newsletter and newsletter builder, general paid-site branded email sender, and expanded internal and external documentation products. Existing document records, lead notification emails, and eligible agency email domains are separate capabilities. A branded outgoing address is not an email inbox or hosted mailbox.

Google Maps and Places features are currently included on all site plans without a separate EasyAsPie plan charge, where those features are available and configured. Third-party availability, applicable third-party terms, and service restrictions still apply. Changes to this inclusion follow Section 9.

We may maintain and update the Services, correct defects, and make changes needed for security, law, or third-party compatibility. Material reductions to purchased functionality and changes to prices or allowances are subject to Section 9. Unless expressly included in a signed agreement, no service-level credit, uptime percentage, dedicated support response time, recovery time, search ranking, sales result, or regulatory certification is promised. We will perform our obligations with reasonable care and skill, subject to the specific commitments in this Agreement and any non-excludable legal requirements.

4. Orders, charges, and payment authorization

Before you confirm a purchase, the applicable order or checkout will identify the currency, price, applicable taxes or tax treatment, recurring billing interval, initial charge, and material usage charges. You authorize the payment processor to charge the payment method you provide for that purchase and any recurring charges you expressly authorize. This authorization does not extend to unrelated purchases or undisclosed recurring charges.

Unless an order states otherwise, nith prices are in U.S. dollars. Applicable taxes are added or included as disclosed at checkout or on the invoice. You must provide accurate billing and tax information and valid exemption documentation when claiming an exemption. You are not responsible for taxes imposed on nith's net income.

Stripe processes card purchases and offers the billing portal used to manage payment methods, invoices, and subscriptions. Its applicable payment terms also govern the payment services it provides. We do not receive or store your full payment-card number. We may accept a documented off-site payment for an identified plan and paid-through date. Recording an off-site payment does not itself authorize a future card charge.

Usage-based fees, additional managed sites, recurring email packs, storage purchases, and other add-ons are payable only as disclosed and authorized. A promotional offer applies within the scope and duration it states. If a charge appears incorrect, contact To be confirmed: billing contact with enough information to investigate. A request that you contact us does not waive chargeback rights, statutory remedies, or any applicable limitation period.

5. Automatic renewal and billing dates

A recurring subscription renews automatically for the billing interval shown at checkout unless you cancel before its next renewal takes effect. Your order and billing confirmation identify the renewal amount or how it is calculated, the next renewal date, and the cancellation method. Variable usage charges and taxes may change the total as disclosed when you authorize them.

New monthly subscriptions using nith's first-of-month schedule renew at 00:00 UTC on the first day of each month. The initial charge covers the partial period stated at checkout. In time zones west of UTC, a first-of-month UTC charge can occur on the evening of the preceding local calendar date. An annual subscription, where offered, renews annually on the date stated in its checkout and confirmation. Existing subscriptions on an earlier billing schedule keep the date shown in their billing record until a properly disclosed and authorized change takes effect.

How a change during a billing period is charged depends on the plan and is shown before you confirm it. On our current plans, adding a paid managed site or an email pack during a period may result in an immediate prorated charge for the remainder of that period, and removing one or changing plan may create a prorated billing credit. A monthly storage pack is charged in full when you buy it and renews monthly from the day you bought it, on its own billing date; removing it takes effect at its next renewal, with no refund, credit or proration. A billing credit applied to a processor balance or future invoice is different from a cash refund to a payment method. There is no general entitlement to a particular proration method beyond the terms shown for the transaction and applicable law.

A free or complimentary period does not alone authorize us to begin charging you. A promotion that converts to paid service must disclose the conversion date or condition, recurring price, cancellation method, and any required authorization before conversion. We will provide renewal, trial-ending, and other notices where required by applicable law and as expressly promised in the applicable offer.

6. Cancellation, refunds, and account closure

An account user with billing authority may cancel an eligible EasyAsPie subscription through Billing → Manage billing, using the linked billing portal, or request assistance at To be confirmed: cancellation contact if the available control does not work or is inaccessible. The confirmation identifies the effective cancellation date. Cancellation stops future renewals of that subscription from that date; it does not automatically cancel other subscriptions, settle a seller's orders, or close the account.

Ordinary published recurring plans do not require a separately negotiated fixed-term service contract unless the order expressly states one. They remain subject to this Agreement and their selected billing period. A subscription may be canceled at any time, with its financial and access effects determined by the disclosed cancellation terms and applicable law.

Refund policy: To be confirmed: approved subscription addon and credit refund policy. No term in this Agreement excludes a refund or other remedy that applicable law requires.

When a cancellation becomes effective, the affected site generally returns to the Free plan and its limits. Cancelling a subscription does not itself delete site content. Existing content or domain behavior must not be understood as a promise of indefinite free hosting or a perpetual service entitlement; any later service closure remains subject to Sections 9 and 14.

Closing an account is different from cancelling a renewal. Request closure through the account-closure process made available to you or at To be confirmed: account closure contact. Before closure, identify sites you are authorized to transfer and save copies of content and records you are entitled to retain using available tools or by requesting assistance. We may verify your identity and authority and clarify the consequences before proceeding. Closure can remove sites and access immediately. The following terms govern closure, remaining subscriptions and credits, export assistance, and deletion: To be confirmed: approved closure and export terms.

We retain certain records after closure where required or permitted for accounting, disputes, security, legal obligations, and other purposes described in the Privacy Policy and applicable Data Processing Addendum. This is not a promise of immediate deletion from every backup or independent third-party system. Closing your EasyAsPie account does not by itself close your separate Stripe seller account or discharge your obligations to buyers or clients.

7. Failed payments and service limits

If a renewal payment fails on an eligible previously paid plan, or a recorded off-site paid period ends without renewal, the plan remains available during the payment grace period shown in Billing. That period is at least three full days from the relevant failure or paid-through date. We send payment notices to the account's designated billing contacts. An incomplete first purchase does not activate a paid plan, and voluntary cancellation does not create a payment grace period.

If payment remains outstanding after grace, the account may become limited. Under the present limited-account policy, existing site content is not deleted solely because grace expires, and the public site, including an already connected custom domain, continues to serve. Free-plan allowances and restrictions apply to new usage, uploads, records, alerts, and other limited features. AI use pauses except to the extent permitted using the account's rolling credits, and unspent monthly allowances lapse under their rules. Billing describes the resulting limits.

Receipt and processing of payment restores the applicable paid entitlements. Payment-provider and processing delays may affect when that update appears. The grace policy does not prevent proportionate action for abuse, security incidents, or other grounds under Section 14, and does not waive properly incurred fees.

8. Credits and usage allowances

Credits pay for eligible AI tasks and certain fixed-price services identified in the product. The purchase screen states the number of credits supplied for a top-up; taxes do not buy additional credits. A credit amount is not a promise of a fixed number of messages, images, generated pages, or successful business outcomes. Consumption depends on the feature and the charging method disclosed for it.

Monthly credits are allowances for an identified period. They are used before rolling credits, do not carry forward, and expire at the displayed period end. Included plan credits and designated build or promotional grants may be monthly credits. Credits are not earned or claimed daily; any credits claimed under an earlier daily-claim feature keep the category and expiry they were given. The relevant period may be a subscription billing period or a UTC calendar month, as shown in the account.

Rolling credits are purchased credits and grants specifically provided to keep. They do not expire merely with time or because a subscription ends. Where a usage charge is reversed, credits return to the category from which they were taken. A returned monthly credit remains subject to its original period end, including where that period has already ended. Account closure, service discontinuation, transfer, and any redemption rights are governed by the refund and closure policy in Section 6; the absence of a time-based expiry does not answer those separate questions.

Some features use a fixed credit charge shown before starting, while others meter work performed. A generated result need not be selected or published for work to have been performed. The applicable feature describes any automatic credit restoration for failed or canceled work. That operational rule does not displace the refund policy or statutory rights.

Storage, records, alert-email allowances, daily task limits, and other caps are separate from credits. The account's plan and usage screens identify which limits are hard caps and which authorize paid overage. A form can save a submission even when its notification email is not sent because an allowance has been exhausted; review submissions in the dashboard. Technical delivery failures can occur independently of allowances. Transactional account, security, and order messages are not tenant marketing campaigns.

9. Changes to pricing, allowances, services, and terms

New publicly displayed prices do not by themselves change an existing subscription's contracted unit price. We may offer different prices and packages to new customers. A change affecting an existing customer's recurring price, paid allowance, or materially included feature requires the notice and any consent required by the customer's agreement and applicable law. Our general advance notice period for such a change is To be confirmed: commercial change notice period, or a longer period where required by law. The notice will identify the change, effective date, and available cancellation or other remedy.

A price or allowance change does not retroactively reprice completed purchases, usage already incurred, or a paid period, except to implement an adjustment the customer expressly requests or a correction required by law. An expiring promotion follows the duration and subsequent price disclosed when accepted. Ending a complimentary arrangement is not a substitute for obtaining required payment authorization.

We may amend these Terms prospectively. Material amendments will be notified through the account and appropriate contact details with To be confirmed: terms change notice period advance notice, except where an earlier change is reasonably necessary to address law, an urgent security issue, or harmful conduct. Such an exception does not authorize an undisclosed price increase. We will obtain affirmative acceptance when required. Amendments do not retrospectively determine an existing dispute. If you decline a material change, the notice will explain how to end the affected Services and the applicable prepaid-fee treatment.

10. Customer content and intellectual property

Customer Content includes text, images, recordings, code, documents, product listings, forms, submitted records, and other material that you or your Authorized Users provide through the Services. As between you and nith, you retain the rights you hold in Customer Content. You are responsible for obtaining rights and permissions necessary to submit, publish, process, and allow us to handle it as instructed. These Terms do not transfer rights belonging to your clients, visitors, licensors, or other third parties to you.

You grant nith a non-exclusive license to host, reproduce, transmit, display, format, and otherwise process Customer Content only as reasonably necessary to provide the Services you use, follow your instructions, maintain and secure the Services, provide authorized support, and comply with law. We may permit service providers to exercise those rights for those purposes subject to the applicable contractual and privacy requirements. Public display is limited to material you instruct us to publish or share. This license does not authorize us to advertise using your private content or to treat all Customer Content as training material for a general-purpose AI model. AI processing is further addressed in the AI and Beta Terms and Privacy Policy.

The license ends when the content is deleted from the Services, except as needed for permitted retention, backups, dispute resolution, and legal obligations described in the applicable data terms. Copies independently obtained by visitors, search engines, or third parties before removal may remain outside our control.

nith and its licensors retain rights in the platform software, design system, tools, templates, branding, and other pre-existing materials. Your subscription grants use of those materials within the authorized Services; it does not transfer ownership of the platform or grant a general right to redistribute its software. Third-party fonts, stock media, embeds, and other assets remain subject to their applicable licenses. AI output rights and limitations are addressed in the AI and Beta Terms. Use of nith marks and brand assets must comply with any permission and published brand requirements supplied with those assets.

If you voluntarily provide product feedback, you permit us to use it to improve the Services without an obligation to pay you, provided this does not transfer your Customer Content or authorize disclosure of confidential or personal information. You should not provide another person's confidential information as product feedback without authority.

11. Customer websites, domains, and personal information

You control the content, business claims, prices, forms, legal notices, and third-party code you place on your website. You are responsible for its lawful operation, including applicable accessibility requirements, consumer disclosures, marketing permissions, and the rights of people whose information you collect. Templates, automated checks, privacy controls, and AI suggestions do not certify compliance.

For personal information you direct us to process for your site, you must provide appropriate notices, have a valid legal basis, honor applicable choices and rights, and give lawful instructions. Our own obligations remain governed by applicable law and the applicable data terms. Do not use a public page, password-protected page, or shared link as a substitute for a regulated information system or appropriate access controls.

Do not submit protected health information subject to HIPAA or other specially regulated information unless we have expressly agreed in writing to support that use and any required agreement, including a business associate agreement, is in place. A clinical tenant, appointment link, contact form, or health-related template does not provide that authorization. Other restricted data and uses are described in the Acceptable Use Policy.

For a custom domain, you must have authority to use it and maintain its registration and required DNS records. Domain connection does not purchase, renew, or transfer domain registration. An EasyAsPie-hosted address is an identifier allocated within the Services, not ownership of a domain. If you change that address, the current redirect period is 30 days; after it ends, the old address may stop working and may be allocated to someone else. Save and update important links accordingly.

12. Third-party services and support access

You may choose to connect payment services, maps, media sources, analytics, scripts, or other third-party services. Their applicable terms govern your relationship with them. You authorize the exchanges necessary for the connection you request, subject to the Privacy Policy and applicable data terms. You are responsible for your configuration and authority to disclose data to services you select. We remain responsible for obligations we assume for our own service providers.

Third-party features may be interrupted, limited, or changed by the third party. We do not promise that every integration will remain available indefinitely. We will address material effects on purchased Services under Section 9 and any applicable signed agreement. A third-party link or integration is not an endorsement of its content or your business.

Authorized nith personnel may access an account or act through support tools where reasonably necessary to provide support, investigate abuse or security, maintain the Services, fulfill authorized instructions, or comply with law. Such access is subject to applicable privacy and confidentiality obligations. This provision does not permit unrelated use of your information or establish that every staff action is currently logged in a particular way.

13. Confidentiality

Each party will use the other party's nonpublic information identified as confidential, or reasonably understood to be confidential, only to perform this Agreement, exercise its rights, or meet legal obligations. Each will protect it with reasonable care and disclose it only to people or service providers who need it for those purposes and are subject to appropriate confidentiality obligations. Customer Content that you make public is not confidential merely because it is stored in the Services.

These duties do not apply to information the recipient can show was already lawfully known without restriction, independently developed, rightfully received without a duty of confidentiality, or made public without the recipient's breach. If disclosure is legally compelled, the recipient may disclose what is required and, where lawful, provide reasonable notice and cooperation concerning protection of the information. The applicable Data Processing Addendum controls personal information processing where its terms are more specific.

14. Suspension, termination, and effects

We may restrict an affected feature, remove or disable access to content, suspend an account, or terminate this Agreement where reasonably necessary because of a material or repeated breach, a credible security or fraud risk, an unlawful instruction, a legal requirement, or nonpayment under the disclosed billing rules. We will consider proportionate measures and, where reasonably practicable and lawful, identify the reason and give an opportunity to address it. Immediate action may be necessary for serious harm, compromised accounts, or legal restrictions. The Acceptable Use Policy describes reporting and review procedures.

For a remediable breach that does not require immediate action, the applicable notice and cure period is To be confirmed: breach notice and cure period. Any decision to discontinue the Services or end an account for convenience, rather than for breach, is subject to To be confirmed: discontinuation notice export and prepaid remedy. These provisions do not authorize us to retain payments contrary to law or an express refund obligation.

On termination, access ends as stated in the applicable notice, subject to any agreed transition or export period. Each party remains responsible for obligations accrued before termination. Terms concerning accrued payment obligations, content ownership, confidentiality, permitted retention, disputes, and liability continue to the extent necessary to give them effect. Termination does not extend a license beyond its stated purpose or eliminate a data deletion obligation.

15. Warranties and responsibility

Each party represents that it has authority to enter into this Agreement. You represent that you have the rights and permissions needed to provide Customer Content and instructions and to perform the activities you undertake through the Services. nith will provide the Services consistently with its express commitments in this Agreement.

Except for express commitments and rights that cannot lawfully be excluded, the Services and automated outputs are provided as available. To the extent permitted by applicable law, nith disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, the accuracy of third-party material or AI output, or a particular business result. These qualifications do not excuse fraud, deliberate misconduct, or another obligation that law does not allow us to exclude.

16. Liability and third-party claims

Neither party seeks through this Agreement to exclude or limit liability that cannot lawfully be excluded or limited. Applicable consumer rights and remedies remain available.

To be confirmed: liability cap basis amount period and application

To be confirmed: approved excluded loss categories and carveouts

To be confirmed: approved indemnity or no indemnity election

17. Disputes, governing law, and notices

For a concern about the Services, contact To be confirmed: legal contact with a description and requested resolution. The parties may try to resolve a dispute informally, but contacting us does not suspend a limitation period, make a statutory remedy unavailable, or require informal resolution before a claim unless a separately agreed enforceable clause expressly states otherwise.

The governing law is To be confirmed: governing law. The agreed forum, if any, is To be confirmed: dispute forum and venue. Any selection remains subject to non-waivable law, including applicable consumer jurisdiction rights.

We send service and contractual notices to the contact details designated for the account and through the Services where appropriate. You must keep those details current. Any legally required consent to electronic delivery or paper-copy procedure must be provided separately where applicable; an account email address alone is not deemed to satisfy every statutory delivery requirement. Legal notices to nith should be sent to To be confirmed: legal notice email and, where required, To be confirmed: legal notice postal address. Formal service of process remains subject to applicable law.

18. General provisions

Neither party is the other's employee, partner, joint venturer, or agent merely because of this Agreement. An agency customer is not authorized to bind nith. Rights belonging to buyers, site visitors, and other third parties under applicable law are unaffected.

Neither party may transfer this Agreement in a way that materially reduces the other's contractual protection or violates applicable law. An otherwise permitted transfer in connection with a genuine reorganization or sale requires the successor to assume the transferring party's obligations and appropriate notice to the other party. Customer site transfers must follow the authorized handoff procedure and do not transfer another party's rights without permission.

A failure or delay in enforcing a term is not a waiver. If a provision is unenforceable, the remaining provisions continue to the extent they can operate lawfully and consistently with the parties' material bargain. This Agreement and the documents expressly incorporated into it contain the agreement for the Services, without excluding liability for fraud or overriding a non-waivable right. A modification must follow Section 9 or be expressly agreed in writing by authorized parties.
